Assistant Company Secretary

We are recruiting for an Assistant Company Secretary to assist the Head of Legal/Group Company Secretary and the Deputy Head of Legal in all governance matters across Admiral Group Plc.  

You will be flexible and adaptable and you will need to thrive under pressure.  As Assistant Company Secretary you will help to oversee the corporate governance of Admiral, ensuring that Admiral meets regulatory requirements. You will ensure that Admiral has organisational transparency and accountability, through development, implementation, monitoring and reporting of robust and appropriate systems, processes and frameworks.

Ideally, you will have knowledge and experience of carrying out company secretarial duties including servicing boards and committees, coordinating board dates, drafting agendas, preparing board papers, action logs and minute taking. You will need to have excellent attention to detail, be able to proof read quickly and have experience of providing a professional service to the most senior individuals working in or for the organisation.


Key Responsibilities:

  • To support the highest standards of governance across the organisation.
  • Supporting the Company Secretary, the Board, Board Committees, Subsidiary Boards, Working Groups and members of the Senior Management Team in all governance matters to include:
    • Liaising with all Board and Committee members to coordinate board dates.
    • Working with the Company Secretary and Chairmen to draft agendas.
    • Coordinating board papers and ensuring the packs are prepped to the highest standard and in a timely manner.
    • Drafting accurate and comprehensive minutes and owning action logs.
    • Coordinating Board evaluations.
    • Assisting the Company Secretary with preparation for the AGM and the Annual Report.
    • Assisting the Company Secretary with Companies House submissions and Regulatory filings/announcements.
  • Managing and supporting the development of corporate governance administration providing advice and support to other administrators to ensure consistency and quality of service delivery is maintained.

Key requirements:

  • Excellent academic background to degree level.
  • You will be a Chartered Secretary or have equivalent on the job experience coming into this role.
  • A governance-related qualification or experience of working in a governance role within a financial services/regulated/listed organisation.
  • Excellent attention to detail and experience of providing a professional service to individuals working at all levels in the organisation.
  • Knowledge and understanding of governance frameworks within a regulated sector including the Companies Act, Codes of Corporate Governance, UK Listing Rules and other regulatory requirements.
  • Exceptional organisation skills and be able to deliver consistently and timely high quality of work to support the Board.
  • You will be able to work to tight deadlines and manage several projects at any one time.
  • Ability to build positive relationships and effectively influence, advise, and support people throughout the organisation.
